The general meeting held at least once a year is a key event for Sanofi. It is an excellent opportunity to present and explain the annual results and the business activities’ evolution to the company’s shareholders.

Every shareholder who wants to take part in the decision-making process of his/her company can attend the meetings and vote personally. Every shareholder has one vote per share. Double voting rights are granted to shares held in registered form for at least two years.

Prior conditions for participating in the meeting

To attend in person, appoint a proxy, exercise a postal vote or vote via the Internet, you must first have provided proof of your status as a shareholder. Proof is constituted by your shares being recorded in your name as of midnight (Paris time) on the second business day preceding the general meeting:

  • in the registered shareholder account held on the Company’s behalf by BNP Paribas Securities Services;
  • in the bearer shareholder account held by the accredited financial intermediary who keeps your share account (bank, brokerage firm, online broker). For holders of bearer shares, it is the authorized intermediary who holds the bearer accounts who shall confirm the status of its client as shareholder to the centralizing bank of the General Meeting by providing a shareholding certificate (attestation de participation) attached to the voting form enabling to vote by post or by proxy or to request an entry card established in the name of the shareholder or on behalf of the shareholder represented by the financial intermediary.

Sanofi is offering you the opportunity to get your convocation to the next Shareholders Meeting and exercise your voting-rights online. By choosing this e-notice, you will then receive an e-mail which allow you to:

  • access to the whole documentation related to the Shareholders Meeting
  • ask for your admission-card to attend the meeting
  • vote on-line
  • give power to the President or mandate a third-party

What should you do?

Through your dedicated website https://planetshares.bnpparibas.com/login held with BNP PARIBAS SECURITIES SERVICES, you just have to connect in the “e-notice” part of the site and follow the instructions.

Participate via the Internet

Sanofi enables you to vote through the secured voting platform VOTACCESS, which is dedicated to voting prior to the general meeting.

Access to the platform is available via Planetshares, Planetshares – My Proxy or via your accredited intermediary’s website.

Registered shareholders

Access VOTACCESS via the Planetshares website.

  • If you hold fully registered shares, log on to the Planetshares website with your usual login.
  • If you hold administered registered shares, log on to the Planetshares website with the login that appears on the top right-hand corner of your voting form attached to your notice of meeting.

Once logged on, follow on-screen instructions in order to access VOTACCESS and ask for your entry card, cast your vote, give or revoke your proxy online.

Employees or ex-employees of Sanofi holding units in a dedicated employee share plan ownership fund (FCPE)

Access VOTACCESS via Planetshares – My Proxy by using the login that appears on the top right-hand corner of your voting form and the identification information corresponding to your employee account number which appears on the bottom right-hand corner of your annual account statement.

Once logged on, follow on-screen instructions and ask for your entry card, cast your vote, give or revoke your proxy online.

Shareholders holding bearer shares

Ask your accredited intermediary whether it is connected to VOTACCESS and, if so, whether access is subject to specific conditions of use.

If your authorized intermediary is connected to VOTACCESS, log on to your intermediary’s website with your usual login. Then click on the icon appearing on the line corresponding to Sanofi shares and follow the on-screen instructions to access to VOTACCESS and apply for an entry card, cast your vote, give or revoke your proxy online.

Please note that

If you hold Sanofi shares in more than one form (registered, bearer or via the FCPE), you will have to vote as many times as there are forms if you wish to cast all your voting rights.

Participate using the voting form

1. You wish to attend the meeting in person

You will need to request an entry card. To do this, tick box A on the voting form. You should then sign and date the form, and send it to one of the following:

  • If you hold registered shares or units in a dedicated employee share ownership fund (FCPE), send the voting form (attached to your notice of meeting) to BNP Paribas Securities Services (see below).
  • If you hold bearer shares, ask your financial intermediary for a shareholding certificate as proof of your status as a shareholder. The financial intermediary will send this certificate to BNP Paribas Securities Services, who will send you an entry card.

2. You cannot attend the meeting and wish to vote by post or by proxy

You will need to tick box B, complete and sign the voting form, and:

  • If you hold registered shares or shares in a dedicated employee share ownership fund (FCPE), send the form to BNP Paribas Securities Services.
  • If you hold bearer shares, ask your financial intermediary for a voting form. Then, send back your voting form duly completed to your intermediary, which will forward it, together with a shareholding certificate to BNP Paribas Securities Services.

The voting form (see the back of the form for instructions) gives you three options:

  • you may request the Chairman of the general meeting to vote on your behalf,
  • you may exercise a postal vote, voting separately on each resolution,
  • you may appoint a proxy to vote on your behalf, who may be any physical or legal person of your choice.
