Given the current health crisis and Sanofi's commitment to help contain the spread of the virus, and in compliance with the emergency measures taken by the government, the Shareholders’ Meeting is convened Friday April 30, 2021 at 2:30 p.m. at the Company’s registered office, behind closed doors, without the physical presence of the shareholders.
In this exceptional context and in the interest of everyone, you are invited not to ask for an admission card and consequently to vote before the meeting, and to favor postal voting using the voting form or voting by internet on the VOTACCESS secure voting platform. Voting procedures are described in the Notice of meeting on pages 3 and 4. On pages 6 and 7 of the Notice of meeting, you will also find a guide for completing the voting form.
Serge Weinberg will chair the Meeting in his capacity as Chairman of the Board of Directors. In accordance with Article 8 of Decree no. 2020-418 of April 10, 2020, the Board of Directors has appointed L'Oréal and Amundi Asset Management as scrutineers.

The General Meeting is a privileged moment for Sanofi to exchange with its shareholders, which it wishes to preserve despite the health context. It will be possible to ask written questions, in accordance with the procedures set out on page 5 of the Notice of meeting.
This year, you will also have the opportunity to ask questions electronically before and during the Meeting. Serge Weinberg, Chairman of the Board of Directors, will spend 90 minutes answering these questions. Questions may be asked from the third day before the Meeting, by connecting to the Webcast platform accessible on this page. You will be asked to confirm that you are a shareholder in the following ways:
- shareholders who voted before the meeting, holders of registered shares and holders of FCPE units will not have to carry out any particular formality, as the centralizing bank has already verified their shareholder status;
- sholders of bearer shares and shareholders who have not voted prior to the meeting must provide proof of their status as shareholders by sending their proof by email to agsanofi.questionsorales@sanofi.com by noon at the latest on Thursday April 29, 2021. In the absence of such proof, their question cannot be processed by the Company.
